1. Agreement to Terms

By accessing or using KPI Vault ("Service," "Platform," or "we"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Use License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to:

  • Access and use the Service for your internal business purposes
  • Create, upload, and manage KPIs, OKRs, and related business data
  • Generate reports and export data in accordance with your subscription plan
  • Invite team members within your organization to use the Service

3. User Accounts

Account Registration

  • You must provide accurate, complete, and current information
  • You are responsible for maintaining account security
  • You must notify us immediately of any unauthorized access
  • You must be 18 years or older to create an account
  • One person or legal entity may not maintain multiple accounts

Account Responsibilities

  • You are responsible for all activities under your account
  • You must comply with all applicable laws and regulations
  • You may not share your account credentials
  • You must maintain the confidentiality of your password

4. Subscription and Billing

Subscription Plans

KPI Vault offers multiple subscription tiers (Starter, Pro, Enterprise). Each plan includes different features, limits, and pricing.

Payment Terms

  • Subscriptions are billed monthly or annually in advance
  • All fees are non-refundable except as required by law
  • You authorize us to charge your payment method automatically
  • Prices may change with 30 days' notice
  • Failed payments may result in service suspension
  • You are responsible for all applicable taxes

Free Trial

New users receive a 30-day free trial. No credit card is required for the trial. At the end of the trial, you must select a paid plan to continue using the Service.

5. Acceptable Use Policy

You agree NOT to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to the Service
  • Reverse engineer, decompile, or disassemble the platform
  • Use the Service to send spam or unsolicited communications
  • Impersonate others or provide false information
  • Engage in any activity that disrupts the Service
  • Scrape or extract data using automated means without permission
  • Resell or redistribute the Service without authorization

6. Intellectual Property

Our IP Rights

The Service, including its original content, features, and functionality, is owned by KPI Vault and is protected by international copyright, trademark, and other intellectual property laws.

Your Data

You retain all rights to the data you input into the Service. By using the Service, you grant us a license to use, store, and process your data solely to provide and improve the Service.

Feedback

Any feedback, suggestions, or ideas you provide may be used by us without obligation or compensation to you.

7. Data Privacy and Security

Your use of the Service is also governed by our Privacy Policy. We implement appropriate security measures to protect your data, but we cannot guarantee absolute security.

  • You are responsible for backing up your own data
  • We perform regular automated backups but do not guarantee data recovery
  • You must comply with applicable data protection laws (GDPR, CCPA, etc.)
  • You are responsible for obtaining necessary consents from your users

8. Service Availability

We strive for high availability but do not guarantee uninterrupted access. We may:

  • Perform scheduled maintenance with notice
  • Suspend the Service for security or technical reasons
  • Modify or discontinue features with reasonable notice
  • Set usage limits or quotas based on your plan

9. Termination

By You

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.

By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Fail to pay fees when due
  • Engage in fraudulent or illegal activity
  • Pose a security risk to the Service or other users

Effect of Termination

Upon termination, your right to use the Service ceases immediately. You may export your data within 30 days of termination. After 30 days, we may delete your data.

10. Disclaimers and Limitations of Liability

Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KPI VAULT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability for any claim arising out of these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless KPI Vault and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Content or data you submit to the Service

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through:

  • Good faith negotiation (30 days)
  • Binding arbitration if negotiation fails

These Terms constitute the entire agreement between you and KPI Vault regarding the Service.

Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

Waiver

Our failure to enforce any right or provision does not constitute a waiver.

Assignment

You may not assign these Terms without our consent. We may assign these Terms to any affiliate or successor.

Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
